These Terms and Disclosures (“Terms and disclosures”) govern the use of the First Online Banking Service (“Service”) which allows you to do account balance inquiries, review transaction activity, transfer funds from account to account or bank to bank, and pay bills using the Internet and receive all available account statements electronically. By using the Service, you agree to these Terms and Disclosures. Please read them carefully and retain them for your records. We have the right to change the Terms and Disclosures at any time. As used in these disclosures, “Primary Checking Account” means the checking account you designate when you enroll in the Service. In addition, the Primary Checking Account will be used to pay service charges and fees for use of the Service. “Account(s)” means the Primary Checking Account and the deposit, loan or other accounts you have designated you wish to have access to through the Service. “You” and “Your” refers to the person(s) or entity subscribing to or authorized to use the Service; “we,” “us” and “our” refers to the First Financial Corporation bank that holds your Primary Checking Account. The Rules and Agreements governing the Accounts are incorporated by reference herein.

Section 1. The Service

The Service is an electronic banking and bill payment service accessed by you through a personal computer or web enabled device. You may use any personal computer on which the Service operates correctly. You may use the service to check the balance or recent activity on your accounts, transfer funds between your eligible accounts or banks, electronically pay your bills as well as view all available account statements. Before you begin to use First Online banking/bill payment service, you agree to familiarize yourself with the services and related materials by reading this agreement. When you use First Online or authorize others to use it, you agree to the terms and conditions of this agreement. Your use of First Online may also be affected by the agreements between us for your deposit, credit card and loan accounts. In addition, when you link accounts to First Online, it does not change the agreements you already have with us on those accounts. You should review those agreements for any limitations on the number of transfers you can make and for other restrictions that might impact your use of an account with First Online banking services. The Accounts to which you may have access through the Service are your checking accounts, savings accounts, installment, commercial and mortgage loan accounts, certificate of deposit accounts and individual retirement accounts. You are limited to forty (40) accounts.

Section 2. Access Methods

To access the Service, your operating system must be Windows 98 or higher, AND you must use Microsoft Internet Explorer 6.0 (or higher) with 128-bit encryption to access the service at To view electronic statements you must have the current version of Adobe Reader. No additional software is required for Internet access. Information is not stored on your PC unless you specifically download it to your PC. By enrolling in, or by use of the Service, you agree that you will use the Service, the software and any other software supporting the Service only for the purposes described in these Terms and Disclosures. You agree that you will not modify or attempt to modify, translate, disassemble, reverse engineer, attempt to copy or send a copy of any portion of the software or any software supporting the Service to a third party or attempt to remove any legal notices contained therein. You also agree not to use or attempt to use the software supporting the Service, or the Software, in violation of any laws including the laws governing the use of software in the United States and Canada and laws affecting export of intellectual property.

Email Account
To access the Service you must provide us with a valid email address. You are responsible to update your email address within the online banking service. Failure to update your email address could result in return delivery of notifications regarding account changes or statement availability.

Section 3. Setting Up Payments

You may make payments through the Service to us and to any other business, merchant, or professional (Business Payee) that generates a bill or invoice for products or services provided to you or on your behalf and that has an address we can verify. Payments may be made only in U.S. dollars and to payees with a U.S. payment address. You may not make a payment for alimony, child support, taxes, or any governmental fees or court-directed payments through the service. You must provide sufficient information about each Payee (“Payee Information”), and such other information as we may request from time to time, to properly direct a payment to that Payee and to permit a Business Payee to identify the correct account to credit with your payment. This information may include among other things the name and address of the Payee and your Business Payee account number. New payees may not be set up through your web enabled device. Because there is always a possibility that the Payee Information may be accidentally destroyed, you should keep a printed copy of your Payee Information somewhere other than your personal computer so that you may readily retrieve it. This information may also help you provide us with the proper information in the event an error or dispute should arise. You may enroll up to 250 payees. You may nickname your payees so it is easier for you to remember them. However, you may use a nickname only once. Duplicating nicknames may create confusion and result in the wrong Payee receiving your payment.

Section 4. Your Logon and Password

You may choose your Logon ID and Password when you register for the service. Any time you change your Password the change will become effective immediately. You should change your Password at least every 60 days. You authorize us to follow any instructions entered through the Service using your Logon ID and Password. Because your Logon ID and Password can be used to access money in, and information about, any of your designated accounts you should treat your Logon ID and Password with the same degree of care and secrecy that you use to protect other sensitive financial data. You agree not to give or make available your Logon ID or Password to any other person. If you forget your Password, you may call Customer Service at 800-511-0045. The customer service representative will verify your identification by confirming information you have provided us. They will issue you a new Password that may be used to logon. The system will then prompt you to change the Password so that only you will know what it is.

Section 5. Scheduling Bill Payments

To schedule a payment, you must provide the name of your Payee, the amount of your payment, and the date or dates on which you want your payments initiated. Each payment must be in an amount not less that $1.00 and not more than $25,000.

You may not schedule duplicate payments. A duplicate payment is one that is scheduled to be made to the same Payee on the same Business Day for the same amount.

Section 6. Initiation and Delivery of Bill Payments

You may enter transaction instructions through the Internet banking service seven (7) days a week, twenty-four (24) hours a day. However, payments will be “initiated” (funds will be verified and deducted from the appropriate account) only on Business Days (see Section 17). Funds must be available in the funding account upon initiation of payment. We may remit your payments by electronic funds transfer, by check, or by other means. Because of the time it takes to transmit your payment to your Payee, they may not receive payment on the day your transaction is initiated. Therefore, in order to ensure that your payments arrive on time, you must schedule the payment to allow adequate time for the Payee to receive it. Estimated Delivery dates are indicated on the screen when you set up a payment. The first time you send a payment to a Payee through the Service, you should allow additional time to allow the Payee to adjust to the new payment method. Accordingly, your first payment to a Payee through the Service should be initiated at least ten (10) Business Days prior to the due date. If you do not provide for a payment to be initiated as indicated in this section, we cannot guarantee the payment will be made by the due date.

Section 7. Documentation and Verification of Bill Payments

Upon completion of a transaction using First Online Banking Service, a confirmation number will be displayed on the screen. You should record this number, along with the payee, scheduled date and transaction amount in your checkbook register or other payment record. No printed receipts are issued by First Online.

Section 8. Stop Payments of Bill Payments

Stop Payments may be placed by contacting Online Banking Support. Stop Payments may only be placed on payments made by check. A $25.00 fee for each stop payment will charged to the primary funding account in the next billing cycle.

Section 9. Timing of Bill Payments

Same Day Bill Payments
You may schedule a bill payment to be originated on the current day if you enter and send the information to us on a Business Day before 3:00 p.m. Eastern Time. Payments scheduled after 3:00 p.m. Eastern Time or not on a Business Day will be processed on the next regular Business Day.

Future Bill Payments
You may enter bill payments as future or recurring payments. Future payments may be made up 364 days in advance. Recurring payments can be scheduled to occur weekly, every two weeks, every four weeks, monthly, twice monthly, every two months, quarterly, semi-annually, or annually for up to forty-five (45) years. If a payment date falls on a Saturday, Sunday, or Holiday, the payment will be initiated on the next regular Business Day.

Section 10. Loan Payments

Regularly scheduled payments to a First Financial Bank loan may be made through the Service. First Financial Bank loan payments should be set up as an internal transfer and must be received by 6:00 p.m. Eastern Time in order to be processed the same business day. Payments received after 6:00 p.m. Eastern Time or on Saturday, Sunday or a federal holiday will be processed the next business day. Our business days are Monday through Friday except for federal holidays.

In order to insure that your payment is posted by the due date, please schedule your payment to be initiated at least two business days prior to the due date. Payments are subject to funds being available in your account at the time the withdrawal is posted.

To payoff your loan with First Financial Bank, you must contact the loan department at 812-238-6000 or toll free at 800-511-0045.

Section 11. Internal Transfers

Same Day Transfers
Same day transfers of available funds may be made any day at anytime. However, if you are transferring funds into a checking account, and if the transfer is made after 6:00 p.m Eastern Time, the funds will not be available to pay checks clearing on that day. Same day transfers can not be cancelled after you have closed your online session because they are processed immediately.

Future or Recurring Transfers
Future or recurring transfers may be set up to occur one time, on a recurring basis with or without an end date or for a specific number of times. These transfers may set up to occur weekly, every two weeks, monthly, bi-monthly or annually.

Scheduling Internal Transfers
Transfers may be made between Eligible Accounts. An “Eligible Account” is an Account linked to the Service that does not have withdrawal restrictions, such as a Certificate of Deposit. To schedule a transfer of funds between Eligible Accounts, you must provide the Eligible Accounts from and to which the transfer is to be made, the amount to be transferred, and the date(s) the transfer(s) is to be made. Each transfer amount must not be less than $1.00 and not more than $25,000.

Online Banking withdrawals (transfers) from a savings account or a money market account are limited by Federal Banking Regulations to six (6) per month. If the six (6) withdrawals per month limit are exceeded, we reserve the right to impose a penalty fee. If we have notified you that you are in violation of this regulation and you continue to exceed this limit, we reserve the right to change this account to a checking account product.

Section 12. External Transfers

Initiating External Transfer
Our Manage Accounts feature enables you to initiate an External Transfer to transfer funds from First Financial Bank to another financial institution or transfer funds from another institution to First Financial Bank. You must contact our Online Banking Support to initiate and validate any new external transfer. You can contact us by calling 1-800-511-0045 between the hours of 8:00 am and 7:00 pm Eastern Time Monday through Friday, and Saturday between the hours of 9:00 am and 2:00 pm Eastern Time. 

Section 13. Canceling or Changing Payments and Transfers

You may change the amount and/or the initiation date of any scheduled payment or transfer. A scheduled payment or transfer, including recurring payments and transfers, may be canceled, changed or rescheduled any time prior to 12:00 Midnight Eastern Time on the day before the payment or transfer is scheduled to occur. Transfers or payments initiated on the current day cannot be canceled after you have closed your Internet banking session because they are processed immediately.

If you elect to terminate your First Online Banking Service, you must delete any scheduled or recurring payments or transfers at the time you notify us, to insure that no payments or transfers are initiated in error. You are solely responsible for any payments or transfers that are not deleted that are made after you notify us to terminate the service.

Section 14. Funds Transfer

If you withdraw funds from an Eligible Account by means of an electronic funds transfer (EFT) other than through First Online, such as an ATM cash withdrawal, and the EFT occurs at any time on the same business day that you use First Online to transfer funds or make an online bill payment from the same eligible account, and if there are insufficient funds at the end of the day to pay both the EFT and the online transfer made through First Online, then the EFT will have priority and the online transfer will result in an overdraft on the account. The same overdraft charges that otherwise apply to your account will be charged; check your Account Disclosure Statement for these charges.

Section 15. Payment Guarantee

We will process and complete all payments and transfers properly initiated through the Service in accordance with the provision of this Agreement. We will reimburse you for any late payment fees or penalties you are charged per scheduled payment, if a Payee does not receive a payment made through the Service by the Due Date, provided that the date on which the payment is initiated is at least five (5) Business Days prior to the Due Date (or at least ten (10) Business Days for the first payment to each payee). However, we will not be liable for failure to complete a transaction and the payment guarantee will not apply if:

  • Through no fault of ours, you do not have sufficient funds available in your designated account to make the payment or transfer.
  • The payment or transfer would exceed the limit of your overdraft line, if available.
  • The date and/or time settings on your PC are incorrect.
  • Your PC or modem was not working properly.
  • A Payee mishandles or delays crediting payments sent by us.
  • You have not provided the correct payee name, address, confirmation number, payee information or payment amount.
  • Circumstances beyond our control (such as fire, flood, failure of third party equipment or software, or delay in the U.S. Mail) prevent the proper completion of the transaction despite reasonable precautions by us to avoid these circumstances.
  • You fail to properly instruct initiation of your payment or transfer.
  • You fail to confirm that your transaction instructions were transmitted to us.
  • The Payee, prior to the Due Date, has not published the late payment fee or penalty, or its method of calculation.


Section 16. Balance Inquiries

You may use First Online to check the balances and recent activity on designated accounts. You must enter your Logon and Password in order to initiate these activities. Balances shown by First Online may be different from your records because of deposits or checks not yet posted or other items that are still in process.

Section 17. Statements

You may access statement information for certain designated accounts through First Online at any time. All of your transactions made through the Service will be reflected on your normal bank statements. These transactions will reflect the Payee name, the payment or transaction amount, and the date the transaction was initiated and will appear in the EFT Activity section of your statement.

By checking the Terms and Conditions box, you agree to receive all available electronic statements and/or electronic notices, and understand that you will not receive paper statements and/or notices.

You may elect to begin receiving your paper statement again at any time. However, there may a charge for this service. To begin receiving your account statement on paper through the mail rather than electronically, contact our First Online Customer Support at 1-800-511-0045 Monday thru Friday 8:00 a.m. to 7:00 p.m. Eastern Time, and Saturday between the hours of 9:00 a.m. and 2:00 p.m. Eastern Time.

If you open additional account(s) with First Financial Bank in the future, we will provide eStatments, unless you direct us otherwise. If you do not want any additional accounts to receive eStatements, you must contact us at 1-800-511-0045.

Section 18. Wires Transfers

You must contact our Online Banking Support for information regarding Wire Transfers. You can contact us by calling 1-800-511-0045 between the hours of 8:00 am through 7:00 pm Monday through Friday, and Saturday between the hours of 9:00 am and 2:00 pm Eastern Time.

Section 19. Notification

Please remember that any electronic mail may not be delivered to us immediately. E-mail sent through the Internet may be delayed by downtime on servers or by heavy mail traffic. If you need to notify us about something immediately, please contact us through the phone number or address listed in the Electronic Funds Transfer Disclosure.

Section 20. Equipment

We are not responsible for any loss, damage or injury resulting from (a) an interruption in your electrical power or telephone service; (b) the disconnecting of your telephone service by your local telephone company or from deficiencies in your line quality; (c) any defect or malfunction of your PC, modem, or telephone service; or (d) the Internet Transaction Server. We are not responsible for any banking, bill payment or other products or services relating to your PC, other than those specified in these Terms and Disclosures. We are also not responsible for any damage to your PC, software, modem, telephone or other property resulting from the use of the Service including any damage resulting from a virus.

Section 21. Business Days and Hours of Operation

“Business Days” are Monday through Friday, except for bank holidays. You may schedule payments and transfers seven(7) days a week, twenty-four (24) hours a day, except during maintenance periods or other periods during which the Service is not operable. However, transactions will be initiated only on Business Days. Current day bill payments that are initiated after 3:00 p.m. Eastern Time will take place on the next Business Day. Current day transfers to a checking account that are initiated after 6:00 p.m. Eastern Time will not be available to pay checks until the next Business Day.

Section 22. Unauthorized Use, Errors and Questions

Your rights and liabilities regarding losses that occur because your Logon ID or Password are used without your permission, or with respect to errors, are outlined in your Disclosure for Electronic Fund Transfers. You can expedite notice to us by:

Section 23. Authorization to Obtain and Disclose Information

You agree that we may obtain information regarding your Payee Accounts and disclose information about your accounts to third parties in order to support the Service provided to you under this Agreement.

Section 24. Charges for First Online Banking Service and Other Services

Fees for First Online Banking Service will be charged in accordance with the fee schedule. These fees may change from time to time as deemed appropriate by the bank.

Section 25. Termination

You may terminate your use of the Service at any time by:

We must receive your notification at least (10) Business Days prior to the date on which you want your enrollment in the Service to terminate. We may request that you put your notification in writing and send it to us. If you have scheduled payments or transfers with an initiation date within the ten (10) day period, you also must separately cancel those transactions. If we have not completed processing of your termination request and you have not subsequently canceled payments or transfers, you will responsible for that payment or transfer.

We may terminate your access to the Service, at any time in whole or in part, for any reason without prior notice. If you have not signed on to the Service every one hundred twenty (120) days consecutively, we may terminate your Service. Your access to the Service will be terminated automatically if your Primary Checking account is closed or access to your Primary Checking Account is restricted for any reason. Termination will not affect your liability or obligations under these Terms and Disclosures for transactions we have processed on your behalf.
